Please review the commercial agreement and commission schedule governing ToolLink suppliers.
1. Introduction and Acceptance: By registering as a supplier on ToolLink East Africa, you agree to be bound by these Commercial Terms & Conditions. ToolLink operates a digital B2B and B2C marketplace connecting verified suppliers with commercial contractors, retail hardware shops, and buyers across East Africa.
2. Supplier Eligibility: Suppliers must be legally registered commercial entities, factories, importers, or authorized hardware distributors in their country of operation.
3. Supplier Registration and Verification: All supplier applications are subject to mandatory Know Your Customer (KYC) background checks and document verification by ToolLink administrators prior to catalog publishing.
4. Business Information and KYC: You agree to provide accurate Certificate of Incorporation / Business Registration details, valid KRA PIN certificates, physical warehouse location details, and executive contact information.
5. Product Listing Requirements: Suppliers are responsible for ensuring all listed products comply with national standards (e.g. KEBS in Kenya). Listings must include accurate specifications, real product imagery, correct minimum order quantities (MOQs), and tier pricing.
6. Product Accuracy and Quality Guarantee: All goods sold through ToolLink must be genuine, new, and defect-free. Counterfeit, substandard, or mislabelled hardware items are strictly prohibited.
7. Pricing and Promotions: Suppliers retain full autonomy over wholesale pricing and bulk discount tiers. Published prices must honor active buyer orders and minimum order quantities.
8. Orders and Order Fulfilment: Upon receiving an order notification, suppliers agree to pick, pack, and prepare goods for dispatch within agreed SLA timelines (typically 24–48 hours).
9. Inventory Availability: Suppliers must maintain accurate live stock status. In the event of stockouts, suppliers must immediately update inventory levels in the Seller Portal.
10. Delivery and Shipping: Fulfillment can occur via ToolLink regional logistics or designated supplier warehouse pickup. Risk of loss passes according to agreed shipping terms.
11. Returns, Refunds and Customer Complaints: Returns are accepted for damaged, defective, or incorrect items delivered. Replacements or credit notes will be processed according to ToolLink customer protection policies.
12. Supplier Performance Standards: ToolLink monitors supplier performance metrics including fulfillment rate, response time, and buyer ratings. Consistent low scores may lead to badge downgrades or account review.
13. Marketplace Commission & Supplier Charges
ToolLink operates a transparent, category-based marketplace commission structure. Commission is deducted automatically from order subtotals upon completed buyer transactions during escrow settlement.

* Note: Category overrides apply where configured (e.g. Heavy Machinery 8.0%, Generators 6.0%). No hidden charges apply.
14. Payouts and Settlement: Net supplier settlements (Order Subtotal minus applicable Commission) are disbursed via M-Pesa B2C or Bank EFT following buyer delivery verification.
15. Taxes and Statutory Obligations: Suppliers are solely responsible for declaring and remitting statutory taxes, including VAT and Income Tax on sales completed.
16. Prohibited Products and Activities: Illegal items, stolen property, hazardous goods without proper licensing, and direct buyer circumvention are strictly prohibited.
17. Intellectual Property and Product Content: Suppliers grant ToolLink a non-exclusive license to display product logos, imagery, and trade names for marketing purposes.
18. Customer Data and Privacy: Customer contact details provided for order delivery must not be repurposed for unauthorized third-party marketing.
19. Fraud, Abuse and Account Security: Unauthorized access attempts, fraudulent orders, or collusive bidding are grounds for immediate permanent termination.
20. Suspension and Termination: Either party may terminate supplier participation with 30 days written notice. Immediate suspension applies for severe policy breaches.
21. Dispute Resolution: Disputes will first be subjected to informal mediation by ToolLink management before formal legal proceedings under Kenyan law.
22. Limitation of Liability: ToolLink acts as a marketplace platform and shall not be liable for indirect or consequential damages arising from supplier transactions.
23. Changes to the Terms: ToolLink reserves the right to update these terms with 14 days advance notification via the Seller Portal.
